These Terms of Service govern your use of the Satinou Music website and your use of beat licenses and custom music production services offered under the Satinou Music name.
Satinou Music is a trade name used by Sata Tsilavina, based in Madagascar.

By using this website or purchasing a product or service, you agree to the applicable terms. If you do not agree, please discontinue use of the website and its services.
2. Website and Purchases
The Satinou Music website is created and hosted on Odoo. It showcases musical instrumentals, audio previews, license information, and music production services.
Beat catalogue access and purchases are handled through Vanilla Wave, an external platform. The Satinou Music website does not process these purchases through an Odoo checkout.
Payments, order processing, digital delivery, and transaction-related matters may be governed by Vanilla Wave's applicable terms and policies.
3. Available Beat Licenses
License categories may include:
Basic MP3
Pro MP3 + WAV
Pro Plus MP3 + WAV + STEMS
Unlimited
Exclusive Total
The price, included file formats, usage limits, distribution rights, and other conditions are determined by the specific license description and terms presented at the time of purchase.
Customers are responsible for reviewing these conditions before completing an order.
4. License Rights and Restrictions
Purchasing a beat license grants permission to use the relevant instrumental within the rights expressly granted by that license. It does not automatically transfer copyright or ownership of the original instrumental.
Unless expressly authorized, you may not:
Resell or redistribute the instrumental as a standalone audio file.
Share or sublicense the instrumental for independent use by others.
Claim ownership or authorship of the original instrumental.
Exceed the usage limits of your purchased license.
Use the instrumental unlawfully or infringe third-party rights.
Transfer your license to another person or business without authorization, unless the license expressly permits it.
All rights not expressly granted remain with Satinou Music or the relevant rights holder.
5. Usage Limits
Any limits on copies, streams, music videos, radio broadcasts, commercial distribution, or other uses must be respected.
If your intended use exceeds the purchased license limits, you must obtain an appropriate upgrade or written authorization before exceeding those limits.
An Unlimited license grants only the usage rights expressly stated in its applicable terms. It does not transfer ownership of the instrumental.
6. Producer Credit
Unless otherwise agreed in writing, the required producer credit is:
"Prod. by Satinou Music" or "Produced by Satinou Music"
Where reasonably applicable, the credit should appear in release descriptions, metadata, or other customary credit locations.
An exclusive license does not automatically remove this requirement unless the applicable written agreement expressly states otherwise.
7. Content ID and Rights Management
Unless expressly authorized in writing by Satinou Music, you must not register the original instrumental or a song containing it with YouTube Content ID or another automated rights-management system in a way that claims, blocks, monetizes, or restricts the original instrumental or other properly licensed users.
You must not submit copyright claims against Satinou Music or other properly authorized users based solely on their permitted use of the same instrumental.

8. Exclusive Licenses
An Exclusive Total license is governed by the specific terms provided for that purchase.
Following confirmation of an exclusive purchase, Satinou Music intends to withdraw the relevant beat from further sale or licensing, subject to prior licenses and existing obligations.
An exclusive purchase does not automatically cancel licenses already granted to other customers. Those licenses remain subject to their original terms unless otherwise agreed in writing.
If you require clarification about previous licenses or the precise scope of exclusivity, contact Satinou Music before purchasing.
9. Custom Music Production Services
Custom services may include composition, instrumental production, arrangement, mixing, and other work agreed upon with the client.
Before work begins, the client and Satinou Music should agree on the project scope, price, delivery format, deadline, payment arrangements, and revision allowance.
Unless otherwise agreed in writing:
The client must provide the necessary recordings, reference files, and project instructions.
The client is responsible for ensuring that they have the necessary rights to material supplied for the project.
Revisions are limited to the agreed number and scope.
Substantial changes outside the original brief may incur additional charges.
Delivery of finished files does not automatically transfer all copyright or underlying rights. Ownership and usage rights depend on the written project agreement.
Satinou Music may decline work that is unlawful, infringes third-party rights, or falls outside the agreed service.
10. Prices and Payments
Beat license prices and purchase options are displayed on Vanilla Wave or communicated through the relevant sales information.
Payments for beat licenses are processed through Vanilla Wave under its applicable checkout terms and payment procedures.
For custom production services, prices, deposits, milestones, and payment arrangements must be agreed upon before work begins, where applicable.
11. Refunds and Cancellations
Refund and cancellation requests are governed by the separate Refund Policy, which forms part of these Terms.
Customers should review that policy before purchasing a beat license or commissioning a custom production service.
Nothing in these Terms or the Refund Policy restricts rights that cannot legally be excluded.
12. Third-Party Services
Odoo provides the website hosting platform. Vanilla Wave provides the beat catalogue and purchase services.
These are separate services governed by their respective terms and policies. Satinou Music does not guarantee their uninterrupted availability or control their independent operations.
13. Acceptable Use
You agree not to:
Use the website for unlawful purposes.
Attempt unauthorized access to the website or its systems.
Interfere with website security or operation.
Copy or redistribute content without authorization.
Submit fraudulent information or infringe another person's rights.
Satinou Music may take reasonable steps to protect its content and services from misuse.
14. Website Availability
Reasonable efforts are made to keep the website accessible and its information accurate. However, uninterrupted or error-free operation cannot be guaranteed.
Features provided by Odoo or Vanilla Wave may become temporarily unavailable or change independently of Satinou Music.
15. Limitation of Liability
To the extent permitted by applicable law, Satinou Music shall not be liable for indirect or consequential losses arising from website interruptions, third-party service failures, or misuse of licensed content.
Nothing in these Terms excludes liability that cannot legally be excluded or restricts mandatory consumer protections.
16. Complaints and Disputes
If you have a concern about a beat license, purchase, or production service, contact satinou.music@gmail.com and include your order reference, if available, together with a description of the issue.
Satinou Music will review the matter and seek a reasonable resolution. For transactions processed through Vanilla Wave, you may also need to contact that platform.
These Terms do not prevent either party from exercising rights or remedies available under applicable law.
17. Applicable Law
These Terms are subject to applicable law. Any dispute will be handled in accordance with the legal rules that apply to the relevant transaction and parties, including mandatory consumer protections.
18. Changes to These Terms
Satinou Music may update these Terms to reflect changes to its website, services, licenses, or legal obligations.
The latest revision date will be displayed at the top of this page. The terms applicable to a completed purchase are determined by the agreement and license conditions applicable to that transaction, subject to applicable law.
